Terms of service

1. Who we are

Ajenzo is a trade name of matan works, registered with the Dutch Chamber of Commerce (KvK) under number 98277952, VAT number NL005321442B69, Nassaulaan 6, 1182 BA Amstelveen, the Netherlands. Email: info@ajenzo.com.

In these terms, "Ajenzo", "we" and "us" mean matan works. "You" means the person or organisation that creates an account or buys a plan. If you accept these terms on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "you" includes it.

2. Scope

These terms apply to the Ajenzo desktop app, the Ajenzo account at app.ajenzo.com, our website and every plan you buy from us (together, the "Service"). By creating an account or using the Service you accept these terms and our privacy policy. General terms of you or your organisation do not apply.

If you use the Service for your business or organisation, our data processing agreement also applies and forms part of these terms. If a provision of the data processing agreement conflicts with these terms on the processing of personal data, the data processing agreement prevails.

3. Who may use Ajenzo

You must be at least 18 years old and able to enter into a binding agreement. The Service is designed for professional use. If you use it as a consumer, the mandatory consumer protections of the law of your country of residence continue to apply.

4. What Ajenzo does

Ajenzo follows conversations you choose to start, searches the sources you connect and shows cards with answers, sources and suggestions. Speech is recognised on your own computer; relevant text, documents and connected sources are processed in the Ajenzo cloud as described in our privacy policy.

The Service evolves. We may add, change or remove features. We will not remove a core feature of your paid plan during a period you have already paid for.

5. Your account

• Use accurate details and keep them up to date.
• Keep your password and devices secure. You are responsible for activity under your account, unless it results from our failure.
• An account is for one person. Do not share login details.
• Tell us without delay at support@ajenzo.com if you suspect unauthorised access.
• In a team, the owner invites and removes members and manages the team plan. Members can leave a team at any time.

6. Your responsibilities in conversations

You decide when Ajenzo listens. Conversations usually include other people. You are responsible for using Ajenzo lawfully in every conversation, and in particular:

• you inform the other participants that you use an AI assistant that transcribes the conversation, before or at the start of the conversation;
• you obtain consent from participants where the law requires it, including laws on recording or listening in on conversations in the countries where participants are located;
• you follow the rules of your organisation and of the organisations you speak with;
• you have a lawful basis to process the personal data of the people in your conversations and in the documents and sources you connect.

If you use Ajenzo for your organisation, your organisation is the controller of that personal data and we process it on its behalf under the data processing agreement.

7. AI output

Ajenzo uses artificial intelligence to transcribe, search and suggest. AI output can be incomplete, outdated or wrong, even when a source is shown. Cards marked as general knowledge are not verified against your sources. In particular:

• Ajenzo does not provide legal, financial, tax, medical or other professional advice;
• you remain responsible for what you say, promise or decide, and for checking information before you rely on it;
• do not use Ajenzo as the only basis for decisions with legal or similarly significant effects on people.

8. Acceptable use

You may not use the Service to:

• break any law or infringe the rights of others, including privacy and intellectual property rights;
• listen to or transcribe conversations you are not a party to, or without the information and consent the law requires;
• process special categories of personal data (such as health data) or data about children, unless the law allows it and you have taken the required measures;
• upload malware, probe or attack our systems, circumvent usage limits or access controls, or overload the Service;
• copy, resell, sublicense or offer the Service to third parties without our written agreement, or use it to build a competing product;
• reverse engineer the Service, except to the extent the law allows this.

9. Plans and prices

Plans are billed per month in advance. Prices on our website exclude VAT; VAT is added where the law requires it. The Team plan is billed per member with a minimum of three seats; the number of seats follows your team, and changes during a month are charged or credited pro rata. Fair use limits may apply to AI usage to keep the Service available for everyone.

We may change prices for future periods. We notify you by email at least 30 days before a change takes effect; you can cancel before it applies.

10. Payment

Payments are processed by Stripe. You can pay by card, iDEAL or SEPA Direct Debit. By subscribing you authorise us, through Stripe, to charge the amounts due each period until you cancel. If a payment fails we let you know and try again; if it keeps failing we may suspend paid features until the invoice is paid. Invoices are available in your account.

11. Cancelling and refunds

You can cancel at any time under Plan and billing in your account. Your plan continues until the end of the period you paid for and is not renewed after that. We do not refund partial periods, unless the law requires it or we agree otherwise in writing.

If you are a consumer in the EU, you have the right to withdraw from the contract within 14 days without giving a reason, by emailing info@ajenzo.com. If you ask us to start the Service during that period, you pay for the part provided until you withdraw.

12. Your content and data

Everything you upload, connect or create with Ajenzo ("your content"), including transcripts and documents, remains yours. You give us the right to host, process and display your content only as needed to provide, secure and support the Service for you. We do not use your content to train general AI models and we do not sell it.

You can delete documents, memory items and connections in your account, and delete your account at any time. When you delete your account we delete your content from our active systems; any backups are overwritten in their normal cycle. You can ask us at support@ajenzo.com to delete individual conversations or to export your data.

13. Our rights

The Service, our software, brand and documentation remain our property or that of our licensors. You receive a personal, non-exclusive, non-transferable right to use the Service during your subscription in line with these terms. If you send us feedback, we may use it without obligation to you.

14. Liability

We provide the Service with care, but "as is" and "as available", without any warranty that it is uninterrupted, error free or suitable for a particular purpose.

Our total liability towards you for all claims together is limited to the amount you paid us in the three months before the event that caused the damage. We are not liable for indirect or consequential damage, including lost profit, lost revenue, lost savings, lost or corrupted data, reputational damage or damage resulting from decisions based on AI output.

These limitations do not apply to damage caused by our intent or deliberate recklessness, nor where the law does not allow them, including mandatory consumer law. A claim lapses if you do not report it to us in writing within 12 months after you discovered or should have discovered the damage.

15. Indemnity

If you use the Service for your business or organisation, you indemnify us against claims of third parties, including participants in your conversations and supervisory authorities, that result from your breach of these terms or of the law, in particular sections 6 and 8, including reasonable costs of defence.

16. Suspension and termination

We may suspend or end your access immediately if you seriously or repeatedly breach these terms, if required by law, or to prevent harm to the Service, other users or third parties. Where reasonable, we warn you first and give you the opportunity to fix the problem. You may stop using the Service and delete your account at any time.

17. Force majeure

We are not liable for failures caused by circumstances beyond our reasonable control, including outages of hosting, payment or AI providers, internet disruptions, cyberattacks and government measures.

18. Changes to these terms

We may update these terms. We notify you by email at least 30 days before a material change takes effect. If you do not agree, you can cancel before the change applies. If you continue to use the Service after that date, the new terms apply.

19. Other provisions

• If a provision is invalid, the rest remains in force and the invalid provision is replaced by a valid one that comes closest to its purpose.
• You may not transfer your rights under these terms without our consent. We may transfer them to a successor of our business.
• These terms, together with the documents they refer to, form the entire agreement on the Service.
• Notices to you are sent to the email address of your account; notices to us go to info@ajenzo.com.

20. Law and disputes

Dutch law applies. Disputes are submitted exclusively to the competent court in Amsterdam, the Netherlands. If you are a consumer, you may also go to the court where you live, and the mandatory protections of your country of residence remain in force.
